PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING ORBRUS.COM OR ANY ORBRUS SERVICES.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ORBRUS AG, a company incorporated under the laws of Switzerland, with its principal office at Bahnhofstrasse 32, 6300 Zug, Switzerland (“ORBRUS,” “we,” “us,” or “our”).

By registering an account, accessing, or using any part of the ORBRUS platform—including but not limited to the ORBRUS Exchange, ORBRUS Cold Wallet, ORBRUS Earn, Launchpad, mobile applications (iOS/Android), APIs, or related services (collectively, the “Services”)—you agree to be bound by these Terms, our Privacy Policy , Risk Disclosure , and KYC/AML Policy , all of which are incorporated herein by reference.    

If you do not agree with any part of these Terms, do not access or use the Services.

1. Eligibility

You represent and warrant that:

  • You are at least 18 years of age;
  • You are of legal capacity to form a binding contract;
  • You are not a resident of, or located in, any jurisdiction where the use of our Services is prohibited (including but not limited to the United States, Crimea, Cuba, Iran, North Korea, Syria, and other sanctioned regions as defined by OFAC, EU, or UN);
  • You will comply with all applicable local, national, and international laws, including tax, securities, and anti-money laundering regulations.

ORBRUS reserves the right to restrict access based on geographic location or regulatory requirements.

 

2. Account Registration & Security

  • You must provide accurate, current, and complete information during registration and KYC verification.
  • You are solely responsible for maintaining the confidentiality of your account credentials (email, password, 2FA keys).
  • You agree to immediately notify ORBRUS of any unauthorized use or security breach.
  • ORBRUS is not liable for losses resulting from compromised credentials due to user negligence (e.g., phishing, password reuse).

We may suspend or terminate accounts that violate these Terms, exhibit suspicious activity, or fail KYC/AML checks.

 

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services for money laundering, terrorist financing, fraud, or market manipulation;
  • Reverse engineer, scrape, or exploit our APIs or platform without written permission;
  • Create multiple accounts to circumvent limits or abuse promotions;
  • Interfere with platform integrity (e.g., DDoS attacks, bot trading that disrupts order books);
  • Use the Services if you are a competitor offering similar exchange or wallet services.

ORBRUS reserves the right to monitor, restrict, or block any activity deemed abusive, fraudulent, or non-compliant.

4. Fees & Payments

  • All fees (trading, withdrawal, staking, etc.) are published on our Fee Schedule and may be updated with 14 days’ notice.
  • Deposits are free; withdrawal fees reflect actual blockchain network costs—ORBRUS does not markup gas fees.
  • You are responsible for any taxes, duties, or levies arising from your use of the Services.
  • ORBRUS is not a bank and does not pay interest on fiat or crypto balances unless explicitly stated (e.g., in ORBRUS Earn products).

 

5. Digital Asset Risks & Disclaimers

You acknowledge and agree that:

  • Cryptocurrencies are volatile and high-risk assets. Prices can fluctuate dramatically in short periods.
  • ORBRUS does not guarantee profits or protect against losses from market movements.
  • Past performance is not indicative of future results.
  • Participation in staking, lending, futures, or Launchpad IDOs carries additional risks, including smart contract failure, illiquidity, or project collapse.
  • You are solely responsible for evaluating the risks of any transaction or investment.

ORBRUS provides tools and information but does not offer financial, legal, or tax advice.

 

6. Intellectual Property

All content, software, logos, APIs, UI/UX design, and technology on ORBRUS are owned by or licensed to ORBRUS and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes only. Any unauthorized use is strictly prohibited.

 

7. Third-Party Services & Links

ORBRUS may integrate or link to third-party services (e.g., payment processors, blockchain explorers, analytics tools). We do not control these services and disclaim all liability for their content, accuracy, or practices. Your use of third-party services is at your own risk.

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBRUS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, DATA, OR DIGITAL ASSETS;
  • MARKET LOSSES OR UNEXECUTED ORDERS due to network congestion, latency, or force majeure events (e.g., internet outages, regulatory actions, cyberattacks).

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ORBRUS IN THE PAST 3 MONTHS.

Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, or death/personal injury caused by us.

9. Indemnification

You agree to defend, indemnify, and hold harmless ORBRUS, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms;
  • Your violation of any law or third-party rights;
  • Your misuse of the Services.

 

10. Termination

ORBRUS may suspend or terminate your access to the Services at any time, with or without cause or notice, including for:

  • Violation of these Terms;
  • Suspicious or high-risk activity;
  • Regulatory or legal requirements.

Upon termination, you must cease all use of the Services. Sections on Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

 

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with said rules. The place of arbitration shall be Zug, Switzerland. The language shall be English.

You waive the right to participate in class actions or jury trials.

 

12. Miscellaneous

  • Amendments: We may update these Terms with 30 days’ notice via email or site announcement. Continued use constitutes acceptance.
  • Severability: If any provision is unenforceable, the remainder of the Terms remains valid.
  • Waiver: Failure to enforce a right is not a waiver of that right.
  • Entire Agreement: These Terms supersede all prior agreements.
  • Assignment: You may not assign your rights. ORBRUS may assign its rights to affiliates or successors.
  • Force Majeure: We are not liable for delays or failures due to events beyond reasonable control (e.g., war, pandemics, blockchain forks).
